1. Agreement to Terms
By aproving a quote or paying an invoice from Eastern Shore Signs & Graphics ("Company"), the client ("Customer") agrees to be bound by the terms of this Agreement. This Agreement applies to all products and services provided by the Company unless otherwise stated in writing.
2. Scope of Work
The Company will provide signage products and/or services as outlined in the attached quote or invoice. Any changes to scope must be requested in writing and may result in additional charges.
3. Quotes and Pricing
All quotes are valid for 30 days unless otherwise stated. Prices are subject to change based on material cost fluctuations or changes in project specifications.
4. Payment Terms
Shall be made by cash, check, or credit card (Visa, MasterCard, American Express, Discover). A minimum of 3.5% surcharge will be added to all credit card transactions. A deposit of 50% is required to begin production unless otherwise agreed upon. Remaining balance is due upon date of completion or installation unless net terms have been previously agreed upon. Late payments will incur a 1.5% monthly finance charge.
5. Production & Turnaround Time
Production timelines begin once all artwork is approved, deposits are paid, and all required information is received. Turnaround time estimates are not guaranteed and may vary due to material availability, weather conditions, or other unforeseen delays.
6. Artwork and Proofing
Customer is responsible for final proof approval. The Company is not liable for errors in spelling, grammar, color, layout, or size after proof approval. Additional revisions may incur charges.
7. Installation
If installation is included, the Customer must ensure the site is accessible and prepared at the agreed time.Delays or re-visits caused by unprepared sites may result in additional charges.
8. Permits
Customer is responsible for obtaining necessary permits unless specifically stated otherwise in writing. The Company can assist with permitting for an additional fee.
9. Ownership & Intellectual Property
All artwork and designs remain the property of the Company until paid in full. Reproduction or reuse without written permission is prohibited. Custom artwork may be licensed or released to the Customer upon request
at an addition fee.
10. Warranty & Liability
The Company warrants products against manufacturing defects for a period of 1 year from the date of completion. This warranty does not cover damage from vandalism, acts of nature, improper installation by others, or misuse. Liability is limited to the repair or replacement of the defective item.
11. Cancellations & Refunds
Cancellations must be made in writing. Deposits are non-refundable once materials have been ordered or work has begun.
12. Indemnification
Customer agrees to indemnify and hold harmless the Company from any claims, damages, or legal fees arising from the use or installation of signage.
13. Vehicle Wraps and Vinyl Lettering
All vehicles must be clean and free of wax, grease, or debris prior to installation. Additional cleaning or prep may incur fees. The Company is not responsible for damage to underlying paint or surfaces. Wraps are not guaranteed on repainted or rusted vehicles.
14. Storage Fees
Customer vehicles or materials left at the Company's facility for more than 5 business days after completion will incur a storage fee of $25 per day unless prior arrangements have been made.
15. Governing Law
This Agreement shall be governed by the laws of the State of Delaware.
